Intellectual Property Policy for Karina Klass Connect Pty Ltd, trading as "Klass Connect"

Effective Date: 1st June 2025

1. Introduction

Karina Klass Connect Pty Ltd (“we”, “our”, or “us”) values intellectual property rights and respects the creations of others.  This Intellectual Property Policy outlines the ownership, usage, and protection of intellectual property (IP) for all content, materials, and services provided by Karina Klass Connect Pty Ltd.

2. Definitions

- “Intellectual Property” includes, but is not limited to, copyrights, trademarks, service marks, trade secrets, domain names, design rights, and patents.

- “Client Materials” refers to any content, data, documents, or intellectual property provided by our clients.

- “Service Provider Materials” refers to any proprietary tools, templates, methodologies, software, and content developed by Karina Klass Connect Pty Ltd.

3. Ownership of Intellectual Property

- Pre-existing IP: All Service Provider Materials that were created by Karina Klass Connect Pty Ltd prior to or independently of any client engagement remain the sole property of Karina Klass Connect Pty Ltd or its licensors.

- Client Materials: All Client Materials provided for the purpose of delivering services to the client remain the property of the client.

- Work Product: Any new work product, deliverables, or content specifically created by Karina Klass Connect Pty Ltd for a client as part of a service agreement will become the property of the client upon full payment of all applicable fees, unless otherwise agreed in writing.

- Joint Ownership: In cases where intellectual property results from joint efforts, ownership rights must be clearly defined in writing prior to commencing work.

4. License Grant

- Service Provider to Client: Upon full payment, Karina Klass Connect Pty Ltd grants the client a non-exclusive, non-transferable, royalty-free license to use the deliverables and work product solely for the client’s internal business purposes, unless otherwise specified.

- Client to Service Provider: Clients grant Karina Klass Connect Pty Ltd a non-exclusive, royalty-free license to use Client Materials solely to the extent necessary to provide the agreed-upon services.

5. Use of Trademarks and Logos

- Client Logos: Clients may provide their logos or brand assets for use in marketing materials, presentations, or deliverables.  Karina Klass Connect Pty Ltd will use such assets only as expressly permitted by the client.

- Service Provider Logo: Karina Klass Connect Pty Ltd may include its logo or branding on deliverables or promotional materials, unless the client requests removal.

6. Infringement and Enforcement

- Respect for Third-Party IP: Karina Klass Connect Pty Ltd will not knowingly use or incorporate any third-party IP in deliverables without proper authorisation or licensing.

- Notification of Infringement: If Karina Klass Connect Pty Ltd becomes aware of any claims that Service Provider Materials infringe the intellectual property rights of a third party, we will notify affected clients and take reasonable steps to address the claim.

- Client Responsibility: Clients are responsible for ensuring that any materials supplied to Karina Klass Connect Pty Ltd do not infringe third-party rights.  Clients indemnify Karina Klass Connect Pty Ltd against any claims arising from infringement related to Client Materials.

7. Protection of Confidential Information

Confidential Information may include trade secrets, business plans, financial information, and client data.  Both parties agree to protect confidential IP-related information according to the Confidentiality provisions outlined in the Service Agreement.

8. Termination and Return of Materials

- Upon termination of a service agreement, Karina Klass Connect Pty Ltd will return or destroy any Client Materials, in accordance with the client’s instructions, except where retention is required by law.

- Any licenses for Service Provider Materials granted to the client will cease upon termination, unless otherwise specified in writing.

9. Amendments

Karina Klass Connect Pty Ltd reserves the right to update or modify this Intellectual Property Policy at any time.  Clients and website users will be notified of significant changes via email or by posting a revised policy on our website.
